Spiral Terms of Use
Agreement. These Terms are a binding agreement between you and Spiral Ad, Inc. (“Spiral,” “we,” “us”). They apply to your use of spiral.ad and our self-serve software and related services (the “Services”). By creating an account, clicking “I agree,” or using the Services, you accept these Terms and our Privacy Policy at spiral.ad/legal/privacy. If you don’t agree, don’t use the Services.
Scope. These Terms apply to self-serve plans (Launch and Grow). Scale customers sign a separate Master Services Agreement.
1. Plans
We offer two self-serve plans: Launch and Grow. Scale is available for larger teams. All plans include full access to Spiral's core features: generating AI ads, analyzing ad performance, and researching competitors. No per-seat fees: team member limits are the only seat restriction.
2. The Services
Spiral provides AI tools to generate and manage advertising creatives and related assets for supported advertising platforms, including Meta. You may use generated creatives at your discretion; we make no warranty for performance or compliance on any platform. We don't manage your campaigns. You're responsible for your advertising accounts and results.
3. Eligibility and Accounts
Business use. The Services are for business and organizational use, not for personal or consumer use. You must be 18+ and using Spiral for business purposes.
Your account. Provide accurate information, keep credentials secure, and take responsibility for all activity under your account. We may refuse or suspend accounts for misuse, security risk, or violation of these Terms.
Team members. You may invite users to your workspace up to your plan limit. You're responsible for their compliance with these Terms and for everything they do in the Services.
4. Credits, Billing, and Cancellation
Subscriptions. Plans are billed monthly or annually in advance and auto-renew until you cancel in the product. Upgrades take effect immediately with a prorated charge. Downgrades apply at the next renewal. We don't refund partial periods.
Credits. Credits are the unit used to run AI generations. Current credit costs per asset type are shown in the product and may change prospectively. Credits are deducted only when a generation successfully completes. If a job fails due to Spiral systems, we may restore credits at our discretion. Credits are nonrefundable and nontransferable.
Credit rollover. Unused Credits roll over for one (1) calendar month only. The maximum accumulated Credits at the start of any billing month shall not exceed two (2) times the monthly allotment ("Rollover Cap"). Example: a plan with 100 Credits/month may accumulate up to 200 Credits. If Customer had 100 Credits and used none in a month, the following month's balance is 200 Credits (100 new + 100 rolled over), not 300.
Top-ups. Customer may purchase additional Credits at any time during the billing cycle at the then-current rate stated on Spiral's website or in the Order Form. Top-Up Credits do not expire and are not subject to the Rollover Cap, but they are consumed after subscription Credits.
Cancellation. You may cancel your subscription at any time — via email, through the cancellation button in the customer portal, or through Stripe. Cancellation takes effect at the end of your current billing period. Prepaid fees are not refunded.
Taxes. For USD, applicable taxes are added on top at checkout. For EUR, tax is included in the displayed price.
5. Third-Party Platforms
We integrate with supported ad platforms through their official APIs. We're not affiliated with Meta or any other platform and don't control their services. Your use of those platforms is governed by their own terms, and you're responsible for compliance.
By connecting your Meta Ads account, you authorize us to: access your Meta Ads performance data through official APIs; analyze campaign and creative data to generate optimized creative content; and store necessary data for service delivery and improvement.
We may suspend API actions if we receive credible notice of policy violations or platform risk.
6. Intellectual Property and Outputs
Our IP. We own the Services, including the platform, software, models, features, and related materials.
Your Inputs and Outputs. As between you and Spiral, you own the outputs you generate using your prompts, data, and assets.
License to Spiral. You grant Spiral a nonexclusive license to host, process, and display your inputs and outputs to operate and support the Services, improve our models and analytics, comply with law, and provide support.
Similarity of Outputs. Outputs may be similar or identical to those generated for others due to similar prompts or data.
No clearance. Spiral doesn't verify or clear rights in your inputs or outputs. You're solely responsible for reviewing outputs and obtaining any permissions, releases, or licenses required for your use.
IP infringement remedy. If any part of the Services is alleged to infringe a third-party IP right, we may modify the Services to avoid the alleged infringement, obtain the necessary rights to continue, or — if those options aren't commercially reasonable — terminate the affected Services. If you become aware of any such claim, notify us promptly and cooperate reasonably.
Platform compliance. You're responsible for advertising claims, required disclosures, compliance with platform policies including Meta's, and any third-party rights implicated by your ads.
7. Data and Privacy
How we use your data. Spiral uses data and content you submit to the platform, including assets, prompts, and generated outputs, to provide the Services. This includes passing your inputs to third-party AI model providers to generate outputs. We may also use your data and outputs in aggregated or de-identified form to develop, train, and improve our own models and analytics. This use is internal to Spiral.
Retention and deletion. When you delete projects or submit a valid deletion request, we remove your data and outputs from active systems within 30 days and from backups within 90 days, unless retention is required by law.
Your responsibility. You're responsible for maintaining backups of your inputs, outputs, and other important data. The Services aren't a data archiving or disaster recovery system.
Privacy and subprocessors. Our Privacy Policy explains what we collect, use, share, and retain, and lists our subprocessors. We use industry-standard security controls.
8. Acceptable Use
You agree not to:
- Break laws, violate advertising standards, or misuse personal data.
- Generate content that includes racism, extremism, harassment, threats of harm, criminal incitement, pornography, or anything offensive or obscene.
- Probe, scan, or reverse engineer our systems or models.
- Scrape, harvest, or use the Services to train or improve a competing model or service.
- Misrepresent AI outputs as human-created where disclosure is required.
- Interfere with Service integrity, introduce malware, or attempt unauthorized access.
- Evade usage limits, create fake accounts, or resell access without our consent.
- Upload content you don't have rights to use.
We may suspend or terminate for violations.
9. Disclaimers and Liability
As-is. The Services and all outputs are provided as-is and as-available. We don't promise correctness, uninterrupted operation, or any advertising results. Review outputs before using them.
Advertiser responsibility. You're solely responsible for your campaigns, claims, disclosures, platform compliance, and regulatory compliance.
Liability limits. To the fullest extent permitted by law, we're not liable for indirect or consequential damages, lost profits, performance shortfalls, data loss, or third-party platform issues. Our total liability for any claim is capped at the fees you paid to Spiral in the three months before the claim.
10. Indemnity
You'll defend and indemnify Spiral from claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of your inputs, outputs, use of the Services, or breach of these Terms — including any claim that content you provided or generated using the Services infringes or violates third-party rights.
11. Suspension and Termination
Either party may terminate at any time. We may suspend or terminate immediately for violations, nonpayment, platform risk, or security concerns. At termination: your access ends, you remain responsible for amounts owed, you keep ownership of outputs already generated, and we delete data per our retention schedule.
12. Changes
We may change features, plans, and pricing. We may update these Terms by posting a revised version with a new date and, when appropriate, additional notice. Continued use after changes means you accept the new Terms.
13. Publicity
Unless you opt out in the product or by emailing support, you grant Spiral a revocable, nonexclusive, worldwide, royalty-free license during your subscription to display your name and logo solely to identify you as a customer on our website and sales materials.
14. Export and Sanctions
You must comply with applicable export control and sanctions laws. You may not use the Services in embargoed countries or for prohibited parties or purposes.
15. Governing Law and Disputes
These Terms are governed by the laws of Delaware. Disputes are resolved exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction.
16. General
These Terms and our Privacy Policy are the entire agreement for self-serve plans. If any provision is unenforceable, the rest remain effective. Our failure to enforce is not a waiver. You may not assign these Terms without our consent; we may assign as part of a merger, sale, or corporate transaction. Notices may be provided through the product or to your account email.
